Management Rules for the Use of API Interface of JD.HK

Chapter I Overview

The Rules apply to all merchants/ service providers who use the API interface of JD.HK JOS Open Service Platform (hereinafter referred to as "JOS service platform"); Merchant/service provider (hereinafter referred to as "merchant") refers to the legal persons, other organizations, or individuals registered in JD.HK Open Platform according to relevant agreements, and engaged in the display and sales of commodities or services on JD.HK Open Platform.

Chapter II      Management Rules for the Use of API Interface

2.1 The open interface of the JOS service platform shall prevail for merchants to interface with the API interface of the JOS service platform.

2.2 Merchants shall ensure the legality, integrity and reliability of the docking application when docking the API interface of JOS service platform, and shall not make abnormal or malicious calls to the API interface of JD.HK.

2.3 Merchants are required to actively pay attention to the announcement content of the Help Center or JOS service platform of the background system of the merchants, monitor the business situation according to the Help Center and the announcement content at any time, and cooperate with and maintain the docking system of the merchants in time according to the situation to ensure the smooth progress of the business of the merchants.

2.4 Merchants should correctly use API docking information: Merchants should directly call JD.HK API interface information to complete all order operations, and merchants are prohibited from using self-calculated or pieced data to complete order information of JD.HK Open Platform. Incorrect use of API docking information includes but is not limited to: Errors in the information of normal delivery of orders such as order amount, order number, customer name, contact telephone number, customer address, payment method, sorting center, distribution site, sorting code, etc. (such as wrong customer address, improper delivery of packages, the wrong amount receivable of orders, etc.), or other situations that seriously affect consumer experience.

2.4.1     The order printing interface must be used to print orders through API, i.e. the following interfaces must be used:

Get the corresponding data as the printing basis and print it.

2.4.2     The amount data obtained in the API interface cannot be used as the settlement basis, and the settlement shall still be based on the data in the settlement function of the merchant background system.

2.5  If the success rate of the merchant's application to retrieve the API interface is less than 98%, the JOS service platform will send an alarm email to the merchant. The merchant shall contact the JOS service platform to explain the corresponding situation within 10 working days after the JD.HK Open Platform sends out the alarm email, and make corresponding adjustments in combination with the situation to meet the requirements of JD.HK Open Platform. The success rate is calculated by the daily docking situation of each Appkey, and the calculation method is: the number of successful calls to interfaces per Appkey per day divided by the percentage of the total calls.

2.6 If the merchant application has a program defect, for example, infinite loop, frequent scanning of commodity information or frequent putting on or off shelves, frequent modification of inventory, etc., JD.HK Open Platform will issue an alarm, and the merchant is required to explain the situation with JOS service platform within 10 working days, and make rectification within 10 working days, otherwise JD.HK Open Platform will be entitled to stop the docking between the merchant and API interface of JOS service platform.

2.7 For merchants who use ISV software services, the merchants shall bear and solve the problems caused by the software services themselves, and JD.HK Open Platform shall not bear any legal responsibility.

2.8 The merchant shall keep the appkey of the application (i.e. the application key) properly. The merchant shall be responsible for all the actions of the appkey on the JOS service platform. If the data security problems are caused by the disclosure of appkey applied by the merchant by the employee who left the merchant or the disclosure of appkey applied by the merchant voluntarily, the merchant shall bear the corresponding responsibility. The merchants shall compensate for any losses caused to the JD.HK Open Platform therefrom.

Chapter III    Liability for Breach of Contract

3.1 In case of violation of Clause 2.2 of the Rules, for the abnormal call occurs for the first time, the JOS service platform is entitled to require the merchant to stop the abnormal call immediately, and to investigate the cause of the problem and make rectification. Any loss caused to JD.HK Open Platform shall be borne by the merchant; In case of an abnormal call happens again or the merchant makes a malicious call, JD.HK Open Platform is entitled to immediately stop the docking of the API interface between the merchant and the JOS service platform, and has the right to require the merchant to bear the penalty based on the standard of RMB 5,000 per time. If it is not enough to make up for the loss, the Platform still has the right to recover.

3.2 In case of violation of Clause 2.3 of the Rules, the losses arising therefrom shall be on the account of merchants. Any losses caused to JD.HK Open Platform, the merchants shall bear all the liabilities for compensation.

3.3 If the merchant violates the provisions of Clause 2.4, the merchant shall bear the losses incurred, and JD.HK Open Platform has the right to require the merchant to bear the penalty of more than RMB 10,000 according to the specific situation. If it is not enough to make up for the loss, the merchant shall still make compensation.

3.4 Where a merchant violates the provisions of Clause 2.4.1, in addition to the responsibility of Clause 3.3, if it occurs for the first time, JD.HK Open Platform has the right to require the merchant to investigate the causes of the problems and carry out rectification; if it happens again, JD.HK Open Platform is entitled to immediately stop the docking of the API interface between the merchant and JOS service platform.

3.5 In case of a merchant violates the provisions of Clause 2.5 and fails to contact the JOS service platform within the specified time after being warned by the JOS service platform to inform the situation and make adjustments, JD.HK Open Platform has the right to stop the docking of the API interface between the merchant and the JOS service platform, and the losses thus incurred shall be borne by the merchant itself.

Chapter IV    Supplementary Provisions

4.1 Any conduct of the merchant of JD.HK Open Platform, arising before the effective date of the Management Rules, shall be subject to the rules effective at that time. Any such conduct arising after the effective date of the Management Rules, the Rules shall govern.

4.2 JD.HK Open Platform may adjust the Management Rules from time to time according to the platform operation and disclose such adjustment to the merchants through the announcement on JD.HK Open Platform.

       By settling on JD.HK Open Platform, the merchants acknowledge that they accept the Management Rules that will be adjusted and issued from time to time.

4.3 The merchant shall comply with national laws, administrative regulations, rules of authorities and other normative documents. The Rules shall be applicable to any alleged breach of national laws, administrative regulations, rules of authorities and normative documents, if such breach is stipulated therein. Any matter left unmentioned in the Rules shall be handled by JD.HK Open Platform at its discretion. But JD.HK Open Platform's handling of the merchants does not exempt them from the legal liability they should bear. Any conduct of the merchants on JD.HK Open Platform shall also be subject to the agreements signed with JD.HK and its affiliates; Any default shall be deemed as a breach of the Rules.

4.4 The Rules were released on December 27, 2018 and took effect on January 3, 2018.
