Merchant Acceptance Standard and Registration Specification of JD.HK Open Platform

Chapter I    Overview

JD.HK Open Platform leads the new fashion of cross-border consumption to continuously introduce reassuring global merchants and high-quality products for Chinese high-end consumers. We are now recruiting overseas as well as Hong Kong, Macao and Taiwan merchants around the world.

Chapter II   Merchant Acceptance Requirements of JD.HK Open Platform

2.1 Basic conditions for merchant acceptance

2.1.1     Have a corporate entity registered overseas or in Hong Kong, Macao or Taiwan.

2.1.2     The store operator shall have the subject of joint and several liability (namely domestic agent) in mainland China.

2.1.3     Have an overseas or Hong Kong, Macao or Taiwan corporate bank account (settled in USD).

2.1.4     Priority has been given to recruit overseas as well as Hong Kong, Macao and Taiwan well-known physical marketplaces or B2C websites, brand owners, brand agents, well-known retailers and well-known brands that have not entered the Chinese market.

Chapter III Requirements of JD.HK Open Platform for Store Type and Brand Qualification

3.1 Type of store

The stores can be dived into brand flagship store, marketplace flagship store, exclusive store and franchise store.

3.1.1     Brand flagship store

3.1.1.1  Direct-sale brand flagship store

It refers to the flagship store directly operated by the brand owner (trademark right holder) with one or more private brands. If more than one private brand is operated, all the brands shall be owned by the same actual controller.

3.1.1.2  Authorized brand flagship store

It refers to the flagship store where a registered company has the Level-1 authorization of the brand owner (trademark right holder) and operates one or more authorized brands. If more than one brand is operated, all the brands shall be owned by the same actual controller.

3.1.2     Marketplace flagship store

It refers to the marketplace flagship store of service trademark (namely Class-35 trademark)-owned online or offline retailer in overseas or Hong Kong, Macao or Taiwan.

3.1.3     Franchise store

It refers to the store operating one or more authorized brands, for which the brand or trademark right holder provides a store operating authorization for registration on JD.HK. If more than one authorized brand is operated, all the brands shall be owned by the same actual controller.

3.1.4     Exclusive store

It refers to the store that operates two or more of private or authorized brands.

3.2  Registration qualification standard

4.    Fixed   authorized return address in China;

5.    Non-Chinese/English   documents, with non-Chinese or English translations issued by a certified   third party translation agency and stamped by the translation company;


Brand qualification

Shopify   type flagship store

1.    Direct-sale   brand flagship store

Trademark registration certificate of sold brand   or original & scanned copies of letter of acceptance of application for   trademark registration (registered overseas or in Hong Kong, Macao or   Taiwan);

2.    authorized   brand flagship store

1)    Trademark   registration certificate of sold brand or original & scanned copies of   letter of acceptance of application for trademark registration (registered   overseas or in Hong Kong, Macao or Taiwan);

2)    Exclusive   authorization (only the Level-1 authorization) issued by the brand   (trademark) right holder to the store operating company;

1.    JD.HK   Open Platform reserves the right to require some brands to provide Level I   brand licensing and other additional certificates.

2.    Non-Chinese/English   documents, with non-Chinese or English translations issued by a certified   third party translation agency and stamped by the translation company;

3.    All   qualifications shall be stamped with the official seal of the store operating   company or shall be signed by its legal person or authorized representative   (with the name, position and company typewritten) in case the store operating   company has no official seal.

Chapter IV Specification for Merchant Registration on JD.HK Open Platform

4.1.       Registration instructions

4.1.1     JD.HK Open Platform has not authorized any agency to conduct merchant acceptance service for the time being. The registration application process and relevant charge notes shall be subject to the official merchant acceptance page of JD.HK Open Platform.

4.1.2     JD.HK Open Platform is entitled to require sellers to provide other qualifications in registration application and subsequent operation stages.

4.1.3     JD.HK Open Platform will update this standard from time to time in combination with the development trends of various industries, relevant national regulations and consumers' purchase demands.

4.1.4     Sellers must truthfully provide materials and information: Please be sure to ensure the authenticity, integrity, and effectiveness of the relevant qualifications and information provided in the application and subsequent business stages (if the relevant qualifications provided by Sellers are provided by third parties, including but not limited to trademark registration certificate, power of attorney, etc., please verify the authenticity, validity, and integrity of the documents first). In case of any false qualification or information, JD.HK Open Platform will no longer cooperate with the Seller and is entitled to deal with it according to the rules of JD.HK Open Platform and relevant agreements signed with the Seller.

4.1.5     Requirements for commodities and services

4.1.5.1  Commodity: It should be original or sold overseas or in Hong Kong, Macao and Taiwan of China, with 100% original quality guaranteed. Only commodities delivered by direct mail or free trade zone can be sold.

4.1.5.2  Commodity page: The page information shall be described in Chinese, international public system unit of measurement, with Chinese customer service (Dongdong customer service).

4.1.5.3  Online service: Provide Chinese Dongdong customer service staff, download and install Dongdong software, and answer questions from customers.

4.1.5.4  Logistics service: The delivery shall be completed within 72 hours after the customer placed the order, and the logistics information can be traced.  At the same time, merchants must sign the Cross-border Logistics Platform Service Agreement, and use JD Logistics to deliver commodities and all orders that are imported in the mode of cross-border declaration.

4.1.5.5  Customer service: There shall be a return service station, contact person, and contact information in the Chinese mainland.

4.2 Merchant registration

4.2.1     User name registration and management

JD.HK Open Platform will register user names for the merchant in ERP background, called "merchant user name", upon the merchant and JD.HK Open Platform signed a cooperation agreement. The store name shall follow the Naming Rules for Merchant Stores of JD.HK Open Platform, and the relevant personnel of JD.HK Open Platform will inform the merchant of the user name and password with written documents. The user name shall not be changed without authorization, and the merchant shall change the password and keep it properly. The merchant shall keep the security of the user name and password information properly, and the user name shall not be transferred or authorized to be used by others in any form. In addition, the merchant shall be fully responsible for all activities carried out under the user name and password.

4.2.2     Commodity release

All merchants shall release commodity information on the JD.HK Open Platform in strict accordance with the Rules. However, they shall not publish lawless or illegal commodity information. All legal liabilities arising from the release of commodity information in violation of the Rules shall be on the account of the merchants and have nothing to do with JD.HK Open Platform. JD.HK Open Platform is entitled to delete any product information that violates the Rules immediately and reserves the right to punish the merchant until the cooperation is terminated.

4.2.2.1  Description of product release elements:

1)   Commodity title

The attributes of the commodity can be simply and clearly stated in the commodity title, with descriptive words. However, it is not allowed to abuse the brand name and words irrelevant to the commodity.

2)   Commodity picture

As clear and beautiful pictures play an important role in promoting transactions, all commodities are required to be displayed with pictures. The picture specifications are 980*250 pixels for Banner pictures, 180*60 for Logo pictures, and 700 pixels for commodity description pictures, with a resolution of 72 pixels.

3)   Commodity description

Commodity description is to show buyers the characteristics and attributes of commodities. Detailed commodity description plays a vital role in the success of selling commodities.

Commodity description should explain commodity attributes such as appearance, color, size, composition, content, quality, packaging, warranty, shelf life, origin, function, and use, which will help buyers to understand commodity attributes more comprehensively. Any exaggerated description, false description, and links to other websites to replace descriptions used to attract buyers are invalid.

4)   Commodity price

Market price refers to the reference price of goods sold in the offline market; and the price on JD.HK Open Platform refers to the actual selling price of commodities on JD.HK Open Platform.

5)   Commodity quantity

Commodity quantity is divided into the stock keeping unit (SKU) quantity and SKU inventory quantity. The number of commodities on sale in the store shall not be less than 60, and the SKU inventory quantity shall not be 0.Note:

The stock keeping unit (SKU) quantity refers to the quantity of product models in the same brand, which can not be less than 60.

SKU inventory quantity refers to the inventory quantity of a single model product, which can not be 0.

6)   Commodity category

The categories of all commodities sold in the store must be consistent with the system of JD.HK Open Platform.

4.2.2.2  Other rules for commodity release:

1)   JD.HK Open Platform has the right to prohibit merchants from releasing commodity information that violates the relevant regulations of JD.HK Open Platform. For details, please refer to the Prohibited Commodities and Information Management Standard of JD.HK Open Platform.

2)   All commodities released by merchants on JD.HK Open Platform must comply with relevant laws and regulations.

3)  The merchant must release the commodities on JD.HK Open Platform according to the "Business Scope" agreed in the Contract signed between the merchant and JD.HK Open Platform.

4)   Merchants are not allowed to release fake, refurbished, unauthorized, used, second-hand commodities and other commodity information that violates the "guarantee of authenticity".

5)   Without formal written authorization (no power of attorney within the specified period), the commodity information of the merchant shall not contain any brand logo and relevant information that may infringe.

6)   Merchants are not allowed to release advertising information related to wholesale, investment promotion, agency, advertisement, poster, etc. in the store.

7)   Merchants are not allowed to release commodities that are inconsistent with the description of commodities, have no actual commodities, and only provide the contact information of the publisher and non-commodity information.

8)    Merchants are not allowed to publish link information in stores to induce buyers to transact on other websites.

9)   Merchants are not allowed to include the physical store address, contact information, contact person, and other information in the commodity pictures, commodity descriptions, commodity titles, and other information of the commodities being sold in the stores.

10) The commodity attribute must be consistent with the commodity category or attribute selected for the released commodity.

11) The pictures of commodities displayed in the store must include the original pictures and photos of physical objects, and the pictures of non-original physical objects after deliberate processing and modification shall not be used.

12)       Identical commodities or commodities with identical important attributes can only be released once.

13)       Merchants must improve and provide the pictures and text description information of the commodities sold in the store.

The Rules were revised on November 5, 2020 and took effect on on November 12, 2020.
