第一章     京东国际开放平台招商要求

Chapter I        Merchant Acceptance Requirements of JD.HK Open Platform

Shopify商家需严格遵循京东国际开放平台商品及服务相关要求《京东国际开放平台商家入驻规范》《京东国际开放平台商品信息发布规范》。

Shopify merchants shall strictly observe the relevant requirements on commodities and services of JD.HK Open Platform, e.g. Merchant Acceptance Standard and Registration Specification of Shopify on JD.HK Open Platform, and Commodity Information Issuance Specification of JD.HK Open Platform.

1.1 招商基本条件:

1.1 Basic conditions for merchant acceptance:

1.1.1拥有海外或中国香港、中国澳门、中国台湾地区注册公司实体;

1.1.1 The store operator shall have a corporate entity registered overseas or in Hong Kong, Macao or Taiwan of China.

1.1.2开店主体需拥有中国大陆境内的连带责任承担的主体,即境内代理人;

1.1.2 The store operator shall have the subject of joint and several liabilities (e.g. domestic agent) in the Chinese mainland.

1.1.3拥有海外或中国港澳台地区对公银行账户(美金结算);

1.1.3 The store operator shall have a corporate bank account (settled in USD) overseas or in Hong Kong, Macao or Taiwan of China.

1.1.4优先招募海外知名实体卖场或B2C网站,品牌商、品牌代理商、知名零售商以及未进入中国市场的知名品牌。

1.1.4 Priority shall be given to recruiting well-known overseas physical marketplaces or B2C websites, brand owners, brand agents and well-known retailers, as well as well-known brands that have not entered the Chinese market.

2.1 店铺类型及命名

 2.1.1 Shopify商家店铺名称

2.1.1 Name of stores of Shopify merchants

品牌店铺:指商家仅经营一种品牌店铺,需以品牌名称命名;

Brand store: In the case that the merchant only runs the store marketing products of one specific brand, the brand store shall be named after the brand.

集合店铺:指经营二种及以上品牌且拥有独立官网店铺,需以官网名称命名;

Multi-brand store: It refers to a store that markets products of over two brands and has its own official website. A multi-brand store shall be named after the name on its official website.

Notes:
  1.
营业执照,商标注册证等政府/商标局/政府官网等出具或者公示的文件无需盖章或签字;银行信息页、授权书,进货凭证以及正品保证书文件需要由公司主体盖章或者签字;
  2.
所有签字需为被授权人签字,并提供授权委托书

3.商家提交的相关资质需在有效期内,在营店铺资质到期或即将到期,需及时更新相关资质信息。

1. Business license, trademark   registration certificate and other documents issued or announced by the   government/ trademark bureau/ official website of the government may not be   sealed or signed. Information pages generated by the bank, power of attorney,   purchase certificate, certificate of authenticity shall be sealed or signed   by the corporate entity.
  2. The signatory shall be the authorized person, and the power of attorney   shall be provided.

3. The qualifications submitted by the   merchant shall be valid, and the relevant qualification information shall be timely   updated if the qualifications of the store in service expire or are about to   expire.

2.3 资质复检

2.3 Recheck of qualifications

2.3.1京东国际开放平台有权对在营商家资质进行常规复检或特别复检。

2.3.1 JD.HK Open Platform is entitled to organize regular or special recheck against the qualifications of merchants in service.

2.3.2常规复检:包含日常对商家所有资质开展的检查。

2.3.2 Regular recheck: all daily checks on all qualifications of the merchant.

2.3.3 特别复检包括但不限于以下情形:

2.3.3 Special recheck includes but is not limited to:

1)基于司法调查、行政监管、媒体报道、公众质疑等情形,京东国际开放平台有权对商家资质展开特别复检。

(1) JD.HK Open Platform is entitled to organize special rechecks on the merchant’s qualifications based on judicial investigation, administrative supervision, media reports, public questioning, etc.

2)基于市场秩序管理或交易纠纷处理中掌握的信息,京东国际开放平台有权对商家资质展开特别复检。

(2) JD.HK Open Platform is entitled to organize special rechecks on the merchant’s qualifications based on information obtained from market order governance or settlement of transaction dispute.

3)为保护消费者知情权及其他合法权益,确保商家提交材料的真实性合法性,确保京东国际开放平台与商家服务协议切实履行,京东国际开放平台有权视情况就商家提交的相关材料委托相关专业机构就真实性、合法性及有效性进行鉴别。

(3) JD.HK Open Platform is entitled to entrust the relevant professional agency to check the authenticity, legality and validity of the materials submitted by merchants as appropriate, with a view to safeguarding the right to know and other legitimate interests of consumers, ensure the authenticity, legality of the materials submitted by the merchant, and facilitate the due performance of the service agreement signed between JD.HK Open Platform and merchants.

2.3.4 常规复检中发现资质不合格,商家需在15天内按京东国际开放平台要求补充相关资质。若在特别复检中发现资质不合格的,京东国际开放平台将先行取消相应品牌授权并下架该品牌相关商品,商家需在15天内按要求补充相关品牌及商品资质。商家若无法按期提供或提供的资质不合格的,京东国际开放平台有权按照《京东国际开放平台商家积分管理规则》中违规行为进行处理。

2.3.4 The merchant shall supplement the relevant qualification documents as required by JD.HK Open Platform within 15 days if its qualifications are found to be non-conformed during the regular recheck. If the merchant’s qualifications are found to be non-conformed during special recheck, JD.HK Open Platform will revoke the authorization to corresponding brand and take down the relevant commodities of such brand from the shelves. The merchant shall supplement the qualification documents of the relevant brand and commodities within 15 days. If the merchant cannot provide its qualifications on time or the qualifications it provided are non-conformed, JD.HK Open Platform is entitled to apply the Credit Management Rules for Merchant of JD.HK Open Platform.

2.4商家务必确保提交资质的真实性,入驻环节商家向京东国际开放平台提供虚假资质的,京东国际开放平台有权限制其入驻, 且限制其关联公司店铺的入驻;若经营环节商家向京东国际开放平台提供虚假资质的,一经查实,京东国际开放平台有权按照《京东国际开放平台商家积分管理规则》中违规行为进行处理。

2.4 The merchant must ensure the authenticity of the qualifications it submits. If the merchant provides false qualifications to JD.HK Open Platform upon registration, JD.HK Open Platform is entitled to restrict the registration of such merchant and its affiliated stores. If the merchant provides JD.HK Open Platform with false qualifications during its operation, once it is verified, JD.HK Open Platform is entitled to apply the Credit Management Rules for Merchant of JD.HK Open Platform.

2.5 因商家提交虚假资质违反国家法律、法规、国家政策或侵犯他人合法权益(包括但不限于知识产权)的,商家应当独立承担全部法律责任,因此导致京东国际及其关联公司利益受损的,商家应当全额赔偿。

2.5 In the case of violation of the Chinese laws, regulations and policies, or infringement on others’ legitimate interests (including but not limited to intellectual property rights), the merchant shall undertake all the legal responsibilities and compensate JD.HK and its affiliates for all interest loss arising therefrom.

2.6商家资质失效前90天起,商家后台会提醒即将到期的资质,商家需及时对资质信息进行更新。如商家主体资质、行业资质逾期未提交的,自资质到期日起,京东国际开放平台有权按照《京东国际开放平台商家积分管理规则》中违规行为进行处理。

2.6 The merchant backstage will remind the merchant of expiration of its qualifications 90 days before such expiration, and the merchant shall update its qualifications immediately. If the merchant cannot provide its qualifications on time or the qualifications it provides are non-conformed, JD.HK Open Platform is entitled to apply the Credit Management Rules for Merchant of JD.HK Open Platform from the date when the qualifications expire.

第三章 禁止入驻品牌名单

因国内现有品牌方市场政策原因,以下品牌及对应类目无法进入京东国际售卖:

The following brands and corresponding categories cannot be sold on JD.HK due to the market policies of the existing brand owners in China:

第四章商家入驻规范

Chapter IV      Specification for Merchant Registration

4.1入驻须知

4.1 Registration instructions

4.1.1 京东国际开放平台暂未授权任何机构进行代理招商服务,入驻申请流程及相关的收费说明均以京东国际开放平台官方招商页面为准。

4.1.1 JD.HK Open Platform has not authorized any agency to conduct merchant acceptance service for the time being. The registration application process and relevant charge notes shall be subject to the official merchant acceptance page of JD.HK Open Platform.

4.1.2 京东国际开放平台有权在申请入驻及后续经营阶段要求卖家提供其他资质。

4.1.2 JD.HK Open Platform is entitled to require sellers to provide other qualifications during the registration application and subsequent operation.

4.1.3 京东国际开放平台将结合各行业发展动态、国家相关规定及消费者购买需求,不定期更新本标准。

4.1.3 JD.HK Open Platform will update this standard from time to time in combination with the development trends of various industries, relevant national regulations and consumers' purchase demands.

4.1.4 卖家必须如实提供资料和信息:请务必确保申请入驻及后续经营阶段提供的相关资质和信息的真实性、完整性、有效性(若卖家提供的相关资质为第三方提供,包括但不限于商标注册证、授权书等,请务必先行核实文件的真实有效完整性),一旦发现虚假资质或信息的,京东国际开放平台将不再与卖家进行合作并有权根据京东国际开放平台规则及与卖家签署的相关协议之约定进行处理。

4.1.4 Sellers must truthfully provide materials and information: Please ensure the authenticity, integrity, and effectiveness of the relevant qualifications and information provided during the application and subsequent operation (if the relevant qualifications provided by Sellers are from the third parties, including but not limited to trademark registration certificate, power of attorney, etc., please verify the authenticity, validity, and integrity of the documents first). In the case that any false qualification or information are found, JD.HK Open Platform will no longer cooperate with the Seller and is entitled to apply the rules of JD.HK Open Platform and relevant agreements signed with the Seller.

4.1.5商品及服务要求

4.1.5 Requirements for commodities and services

1)商品:原产于或销售于海外可支持发货至京东海外集货仓,保证100%原装正品。只可售卖直邮的商品。

(1) Commodity: The commodity shall have its origin from or is marketed overseas, and shall be delivered to overseas warehouse of JD, with 100% original quality guaranteed. Only the commodities that can be delivered via direct mail are marketed.

2)商品页面:页面信息需中文描述,国际公制度计量单位。

(2) Commodity page: The page information shall be described in Chinese, with international public system unit of measurement applied.

3)在线服务:配备中文咚咚客服人员(单店模式商家),下载安装咚咚软件,解答客户疑问。

(3) Online service: Chinese Dongdong customer service staff (merchants under single store mode) are available, please download and install Dongdong software, and answer questions from customers.

4 物流服务:客户下单在约定时效内进行发货,120小时内有京东海外集货仓揽收信息。

(4) Logistics service: The delivery shall be completed within 72 hours after the customer places an order, and the collection and logistics information provided by JD overseas warehouse shall be available within 120 hours.

5)售后服务:中国大陆地区有退货点及联系人和联系方式。

(5) Customer after-sales services: The return service station, contact person, and contact information in the Chinese mainland shall be available.

4.2商家入驻

4.2 Merchant registration

4.2.1 用户名注册与管理

4.2.1 User name registration and management

商家与京东国际开放平台签订合作协议后,京东国际开放平台为商家在ERP后台注册的用户名,称“商家用户名”。用户名不得擅自更改,商家须自行更改密码并妥善保管。商家应妥善保管用户名及密码信息的安全,商家不得以任何形式擅自转让或授权他人使用用户名,并对利用该用户名和密码所进行的一切活动负全部责任。

JD.HK Open Platform will register user names for the merchant in ERP background, which is known as "merchant user name”, after the merchant and JD.HK Open Platform signed a cooperation agreement. The user name shall not be changed without authorization, and the merchant shall change the password and keep it properly. The merchant shall keep the security of the user name and password information properly, and shall not transfer or authorize others to use the user name in any form. In addition, the merchant shall be fully responsible for all the activities carried out under the user name and password.

4.2.2 商品发布

4.2.2 Commodity release

京东国际开放平台有权禁止商家发布有违京东国际开放平台相关规定的商品信息。具体参见《京东国际开放平台禁发商品及信息管理规范》;所有商家须严格按照本规则在京东国际开放平台发布商品信息,但不得发布违法、违规商品信息,若因违反本规则发布商品信息而引起的法律责任由商家自行完全承担,一旦京东国际开放平台发现有任何违反规则的商品信息,有权立即删除,并保留对商家进行处罚直至终止合作的权利。

JD.HK Open Platform is entitled to prohibit merchants from releasing commodity information that violates the relevant regulations of JD.HK Open Platform. For details, please refer to the Prohibited Commodities and Information Management Standard of JD.HK Open Platform. All merchants shall release commodity information on JD.HK Open Platform in strict accordance with the Rules provided that no lawless or illegal commodity information are released. All legal liabilities arising from the release of commodity information in violation of the Rules shall be on the account of the merchants. JD.HK Open Platform is entitled to delete any product information that violates the Rules immediately and reserves the right to punish or even terminate cooperation with the merchants.

4.2.3商家必须按照商家与京东国际开放平台商城签订合同中约定的“经营范围”在京东国际开放平台发布商品,商品属性与发布商品所选择的商品类目或属性必须一致。

4.2.3 The merchant must release the commodities on JD.HK Open Platform according to the "Business Scope" agreed in the contract signed between the merchant and JD.HK Open Platform. The commodity attribute must be consistent with the commodity category or attribute selected for the released commodity.

4.2.4 商家不得发布假货、翻新货、水货、旧货、二手货等有违“正品保证”的商品信息(旧货、二手规则不适用于中古店铺);商家不得在店铺内发布涉及批发、招商、代理,广告、海报等形式的广告信息;商家不得发布与商品描述不符、无实际商品、仅提供发布者联系方式以及非商品信息的商;商家不得在店铺发布诱导买家去其他网站交易的链接信息。

4.2.4 Merchants are not allowed to release fake, refurbished, unauthorized, used, second-hand commodities and other commodity information that violates the "guarantee of authenticity” (rules for used and second-hand commodities are not applicable for second-hand stores). Merchants are not allowed to release advertising information related to wholesale, investment promotion, agency, advertisement, poster, etc. in the store, nor release commodities that are inconsistent with the description of commodities, have no actual commodities, and only provide the contact information of the publisher and non-commodity information, and publish link information in stores to induce buyers to transact on other websites.

4.2.5未经正式书面授权(指定年限内无授权书),商家的商品信息不得带有任何品牌LOGO及可能侵权的相关信息。

4.2.5 Without formal written authorization (no power of attorney within specified period), the commodity information of the merchant shall not contain any brand logo and relevant information that may infringe on the rights of others.

4.2.6商完全相同或重要属性完全相同的商品,只能发布一次。

4.2.6 Identical commodities or commodities with identical important attributes can only be released once.

第五章 附则

Chapter V    Supplementary Provisions

5.1京东国际开放平台商家的行为,发生在本管理规则生效之日以前的,适用当时的规则。发生在本管理规则生效之日以后的,适用本规则。

5.1 Any conduct of the merchant on JD.HK Open Platform happened before the effective date of the Rules shall be subject to the rules then effective. The Rules shall apply for any such conduct occurring after the effective date of the Rules.

5.2京东国际开放平台可根据平台运营情况随时调整本管理规则并以京东国际开放平台公告的形式向商家公示;商家入驻京东国际开放平台即表示接受京东国际开放平台其后不时调整、颁布的管理规则。

5.2 JD.HK Open Platform may adjust the Rules from time to time considering the operation of the platform and disclose such adjustments to the merchants through the announcement on JD.HK Open Platform. By registering with JD.HK Open Platform, the merchants acknowledge to accept the Rules as modified and issued thereafter by JD.HK Open Platform from time to time.

5.3商家应遵守国家法律、行政法规、部门规章等规范性文件。对任何涉嫌违反国家法律、行政法规、部门规章等规范性文件的行为,本规则已有规定的,适用于本规则。本规则尚无规定的,京东国际开放平台有权酌情处理。但京东国际开放平台对商家的处理不免除其应承担的法律责任。商家在京东国际开放平台的任何行为,应同时遵守与京东国际开放平台及其关联公司签订的各项协议;如有违约即视为对本规则的违反。

5.3 The merchant shall comply with the laws, administrative regulations, rules of authorities of the People’s Republic of China and other normative documents. For any alleged breach of the laws, administrative regulations of the People’s Republic of China, the rules of authorities or other normative documents, the Rules shall apply if the relevant regulations are stipulated herein. Any matter uncovered in the Rules shall be filed to JD.HK Open Platform for resolution at its discretion. However, actions by JD.HK Open Platform on merchants do not exempt the merchants from the legal liability they should bear. Any conduct of a merchant on JD.HK Open Platform shall also comply with any and all agreements signed with JD.HK and its affiliates. Any default shall be deemed as a breach under the Rules.
